MIRAIT ONE Corporation (the "Company") hereby announces that it has resolved at the meeting of its Board of Directors held today to enter into a tri-party capital and business tie-up agreement with Softcreate Corp. and Y2S Corporation as follows.

1. Purpose of entering into the capital and business tie-up agreement
Through this agreement, the Company will promote ICT solutions under a full-value model and the expansion of the recurring businesses through cooperation among the three companies. We will also seek to maintain strong relationships with customers of the three companies through the continuing provision of services, with the aim of achieving the sustainable growth of the respective companies and maximizing their corporate value.

2. Outline of the capital and business tie-up agreement to be concluded
(1) Outsourced operations
Softcreate Corp. will outsource monitoring and system maintenance and operation services to Y2S Corporation
(2) Joint development
Softcreate Corp. and Y2S Corporation will jointly develop operational infrastructure required for outsourced operations and work with the Company to develop SaaS

3. Timeline
(1) Date of the resolution by the Board of Directors: July 10, 2025
(2) Date of the conclusion of capital and business tie-up agreement: July 10, 2025

Softcreate Corp. provides a wide range of services from system construction to cloud, security, and system operation in order to provide total support for IT infrastructure that solves customers' business issues. In system operation, in particular, we have been partnering with Y2S Corporation.
We are pleased to see Y2S Corporation joining the MIRAIT ONE Group. Softcreate Corp. will maintain its existing cooperative relationship with Y2S Corporation while aiming to maximize synergies among the three companies, including MIRAIT ONE Corporation. Further, Softcreate Corp. will actively support the growth of the MIRAIT ONE Group, which has welcomed Y2S Corporation as its new member.
